News from the USA; Titan International Inc., in partnership with One Equity Partners (OEP) and the Russian Direct Investment Fund (RDIF), has closed the acquisition of a majority interest in Voltyre-Prom, a leading producer of agricultural and industrial tyres in Volgograd, Russia, from the principal owner, Cordiant, for approximately $94 million. This sum includes the assumption of debt, subject to various post closing adjustments over a period of three years.
On October 7th, Cooper Tire & Rubber Company issued a statement regarding the pending merger with Apollo Tyres, in which Cooper makes it plain that it believes that a reduction in share price is unwarranted. The statement, in full, reads as follows:
Cooper Tire & Rubber Company has filed a legal complaint against the company that has agreed to buy it in a friendly takeover, Apollo Tyres. Cooper filed a complaint on 4 October in Delaware Chancery Court asking that “subsidiaries of Apollo Tyres Ltd be required to expeditiously close the pending merger between the two tyre companies in accordance with the terms of the definitive merger agreement”.
A site has been found for Bridgestone’s second plant in Turkey. On 4 October the company announced that Brisa Bridgestone Sabancı Lastik Sanayi ve Ticaret A.Ş has reached an agreement with Aksaray Province Organized Industrial Zone regarding the acquisition of land for the construction of the new passenger car radial factory.
Cooper Tire & Rubber has announced that its stockholders voted to approve its pending merger with a wholly-owned subsidiary of India’s Apollo Tyres, with more than 74 per cent of Cooper’s outstanding common shares voted in favor of the transaction. Approximately 78 per cent of Cooper’s outstanding common shares were voted, with more than 48 million shares voted in favor of the merger, representing approximately 96 per cent of Cooper’s voted shares.
Within the next few hours, Cooper Tire & Rubber shareholders will cast their votes in favour or against Apollo Tyres’ bid to acquire the US tyre maker for US$2.5 billion.
Cooper Tire has shared details of the sales office it has set up in Moscow. Alex Kolkov heads the office as sales manager; he joined Cooper Tire after serving in leadership positions at multinational companies with sales and production facilities in Russia, including Paulig Rus LLC and Sappi.
Could JK Tyre & Industries be the next Indian tyre maker to broaden its geographic footprint? Speaking with The Economic Times, company chairman and managing director Dr. Raghupati Singhania said that following the integration of Mexican tyre maker Tornel into the company, JK Tyres has “encountered some interesting propositions for possible opportunities of acquisition to catapult into a global entity.”
As well as needing to sort out issues at the Cooper Chengshan plant, Cooper Tire & Rubber and Apollo Tyres now face an additional barrier to acquisition. Last Friday an arbitrator ruled that Cooper cannot sell its Findlay and Texarkana plants in the US until Apollo secures new collective bargaining agreements with the United Steelworkers union and the 2,500 or so unionised workers at the two factories. This agreement is separate from the existing contract the union has with Cooper Tire.
Following on from the news that Delticom AG purchased fast-growing online tyre retailer Tirendo on 17 September, Delticom executives have also revealed that company’s founders and main shareholders Rainer Binder and Andreas Pruefer also sold around 500,000 Delticom shares to a subsidiary of European Media Holding AG (EMH), which itself is a founding shareholder of Tirendo. In addition EMH was granted options to purchase up to a further 1.6 million shares. Apart from increasing the apparent combined value Delticom attributed to Tirendo, it is also likely to have consequential effects on market pricing.
Hanover, Germany-based Delticom AG agreed to purchase Tirendo Holding GmbH on 16 September. The leading European online tyre business will purchase all shares in the Berlin-based online tyre retailer and its subsidiaries. According to a statement issued by the companies, the purchase price, including acquired shareholder loans, amounts to roughly 50 million euros.
Pneumobil, the retail operation run by Pirelli in Germany, has acquired Bavarian tyre retailer Reifen-Wagner I.S. Auto-Service GmbH & Co. KG. The purchase of this chain adds 15 new outlets to the 70-strong Pneumobil network; the deal will take affect on 1 October.
Cooper Tire & Rubber shareholders will vote on the company’s acquisition by Apollo Tyres at a meeting scheduled for 30 September. Cooper stockholders of record as of the close of business 30 August 2013 are entitled to vote at the special meeting, which will take place in the US city of Cleveland.
Resistance to the acquisition of Cooper Tire and Rubber by Apollo Tyres continues unabated, with workers at the Cooper Chengshan joint venture factory in China's Shandong province locking out their US managers in protest against the deal.
Workers say that the takeover will put their jobs at risk and, according to Yue Chunxue, director of the labour union at the plant, foreign managers could face the risk of "bodily injuries". He added: "unless the deal is cancelled, we will continue to boycott it until the very end. A three-month strike ended on August 17th but the union is continuing to boycott work on Cooper-branded products.
